Certain Services may be governed by a separate client agreement, enrollment agreement, purchase terms, cancellation policy, or other written terms.

If there is a conflict between these Terms and a written agreement specifically governing a Service you have purchased, the service-specific agreement will control with respect to that Service.

HEALTH AND MEDICAL DISCLAIMER

Donna J Wellness provides health and wellness education, strategy, consulting, and support.

Donna J Wellness does not provide medical care, and the Website and Services are not intended to substitute for care from a physician or other appropriately licensed healthcare professional.

The terms presented at the time of purchase, enrollment, or booking, along with any separate agreement you enter into with Donna J Wellness, will govern your specific purchase.

Where a signed client agreement or other service-specific agreement applies, that agreement will control regarding fees, payment obligations, cancellations, refunds, rescheduling, and termination.

You are responsible for reviewing applicable purchase terms before completing a transaction.

THIRD-PARTY PAYMENT AND SERVICE PLATFORMS

INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Donna J Wellness, LLC and its owners, officers, employees, contractors, agents, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from:

• Your material violation of these Terms;
• Your infringement of another person's intellectual property or other legal rights; or
• Content or information you knowingly submit in violation of applicable law or the rights of another person.

This provision does not require you to indemnify Donna J Wellness for its own negligence, willful misconduct, or conduct for which indemnification cannot legally be required.

The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provision below where it applies.

INFORMAL DISPUTE RESOLUTION

Before beginning arbitration or court proceedings, you and Donna J Wellness agree to make a reasonable good-faith effort to resolve the dispute informally.

You may begin this process by sending a written description of the dispute and the resolution you are requesting to: info@donnajwellness.com

Donna J Wellness will similarly attempt to contact you before initiating formal proceedings when reasonably practicable.

The parties will have 30 days after receipt of the written dispute notice to attempt to resolve the matter before either party initiates arbitration, unless immediate legal action is reasonably necessary to prevent serious or irreparable harm.

BINDING INDIVIDUAL ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for claims that qualify for small claims court, claims seeking temporary or emergency injunctive relief, or disputes that applicable law does not permit to be arbitrated, disputes arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved through final and binding individual arbitration.

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect when the arbitration is filed, where those rules are applicable.

The arbitrator will have authority to award remedies available under applicable law, subject to any lawful limitations contained in these Terms or an applicable service-specific agreement.

Judgment on an arbitration award may be entered in any court having jurisdiction.

Nothing in this provision prevents either party from bringing an eligible individual claim in small claims court.

NO CLASS OR REPRESENTATIVE PROCEEDINGS

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DONNA J WELLNESS AGREE THAT DISPUTES WILL BE BROUGHT AND RESOLVED ONLY ON AN INDIVIDUAL BASIS.

NEITHER PARTY WILL BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING AGAINST THE OTHER THROUGH ARBITRATION.

An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

If applicable law does not permit this waiver for a particular claim or in a particular jurisdiction, the waiver will not apply to the extent prohibited by law.

ARBITRATION OPT-OUT

You may opt out of the arbitration provisions above by sending an email to info@donnajwellness.com within 30 days after you first become bound by these Terms.

Your email must include your name, the email address associated with your purchase or use of the Services, if applicable, and a clear statement that you are opting out of arbitration under the Donna J Wellness Terms and Conditions.

Opting out of arbitration does not affect the remaining provisions of these Terms.

COURT PROCEEDINGS

For disputes that are not subject to arbitration, including disputes where a valid arbitration opt-out has been submitted, you and Donna J Wellness agree that, except where applicable law gives you the right to bring a claim elsewhere, disputes will be brought in a state or federal court having jurisdiction in New York County, New York.

You and Donna J Wellness consent to the jurisdiction of those courts.

SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary.

The remaining provisions will continue in effect.

NO WAIVER

If Donna J Wellness does not enforce a provision of these Terms on one occasion, that does not waive the right to enforce that provision or another provision in the future.

ENTIRE AGREEMENT AND SERVICE-SPECIFIC TERMS

These Terms, together with the Privacy Policy and any applicable service-specific agreement, constitute the agreement governing your use of the Website and applicable Services.

A separate signed agreement, enrollment agreement, purchase policy, or other service-specific terms may contain additional provisions.

Where those provisions conflict with these general Website Terms, the service-specific agreement will control with respect to that particular Service.

CHANGES TO THESE TERMS

Donna J Wellness may update these Terms from time to time to reflect changes to the Website, Services, business practices, legal requirements, or other circumstances.

When these Terms are updated, the Effective Date at the top of the document will be revised.

Changes will apply prospectively from the effective date of the revised Terms unless otherwise required by law.

Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Material changes that require additional notice or consent under applicable law will be handled accordingly.
